StandardArc Terms of Service
Effective date: September 7, 2026
These Terms of Service govern access to and use of EarnedShield, VendorGate, and related StandardArc Systems software, portals, workflows, and customer materials (collectively, the “Service”). By purchasing, accessing, or using the Service, you agree to these Terms.
1. The Service
EarnedShield is a business financial-control and workflow system designed to help commercial contractors and related businesses organize bid, project, change-order, accounts-receivable, action-item, and revenue-recovery information. Features may include automated alerts, calculated financial fields, workflow prompts, dashboards, data-import tools, and other decision-support features.
VendorGate is a vendor-readiness and compliance workflow system designed to help businesses organize vendor onboarding, compliance evidence, expiration tracking, project-specific clearance, corrections, waivers, and work-authorization decisions.
2. Account access and responsibility
You are responsible for providing accurate account information, controlling access to your authorized email and StandardArc workspace, and promptly notifying StandardArc Systems if you believe access has been compromised. You may not attempt to access another customer’s workspace or circumvent authentication, security, tenant-isolation, role, entitlement, or usage controls.
3. Limited business-use license
Subject to these Terms and the offer presented at purchase, StandardArc Systems grants the purchasing customer a limited, non-exclusive, non-transferable right to use the Service for its internal business operations. You may not resell, sublicense, copy for redistribution, reverse engineer, scrape, or commercially exploit the Service except as expressly permitted in writing.
4. Customer data
You retain responsibility for the business data you enter, upload, or import. You represent that you have the right to use and process that data and are responsible for its accuracy. StandardArc calculations, readiness statuses, alerts, and workflow outputs depend on the information supplied to the Service; incomplete, stale, or incorrect data can produce incomplete or incorrect outputs.
5. Automated alerts, calculations, and readiness decisions
StandardArc may automatically create tasks, warnings, calculations, risk indicators, recovery records, readiness statuses, expiration reminders, or work-authorization indicators based on configured rules and available data. These outputs are operational aids, not independent verification of a contract, invoice, debt, legal entitlement, insurance requirement, regulatory obligation, accounting treatment, vendor qualification, or collectability. Customers remain responsible for reviewing source documents and making business decisions.
6. No guaranteed business or financial result
StandardArc does not guarantee that use of the Service will win bids, prevent losses, preserve margins, accelerate payment, recover revenue, prevent compliance failures, qualify a vendor, authorize work, or produce any specified financial or operational result. Results depend on customer data, operations, decisions, contracts, counterparties, vendors, and follow-through.
7. Professional advice disclaimer
The Service is not a substitute for legal, tax, accounting, insurance, engineering, safety, regulatory, or other licensed professional advice. Customers should consult qualified professionals when those services are required.
8. Acceptable use
You may not use the Service to violate law, infringe another person’s rights, transmit malicious code, probe or attack the Service, interfere with other users, obtain unauthorized data, or use automated means to overload or abuse the Service.
9. Availability and changes
StandardArc Systems may maintain, improve, secure, modify, or replace features as the Service evolves. Reasonable efforts are made to provide reliable access, but uninterrupted or error-free operation cannot be guaranteed. Maintenance, third-party outages, internet failures, security incidents, or events outside StandardArc Systems’ reasonable control may affect availability.
10. Third-party services
The Service may rely on or interoperate with third-party platforms such as Shopify, email providers, hosting providers, database and authentication services, and file-storage providers. Third-party services are governed by their own terms and availability, and StandardArc Systems is not responsible for failures solely caused by those providers.
11. Purchases, product terms, renewals, and refunds
Product access is governed by the offer presented at purchase and these Terms. EarnedShield purchases may be eligible for the StandardArc 14-Day Fit Guarantee only as described in the posted Refund Policy.
VendorGate Founders Annual currently provides 12 months of access to one VendorGate customer workspace with up to 100 active vendors, subject to the applicable offer and these Terms. VendorGate Founders Annual is not an automatic recurring subscription unless a future purchase flow expressly states otherwise and the customer affirmatively agrees to recurring billing. At the end of a paid term, continued paid functionality requires a qualifying renewal or new purchase. An expired VendorGate workspace may be restricted to read-only access until renewed.
Refund eligibility, if any, is governed by the Refund Policy and the specific offer presented at purchase. The current 14-Day Fit Guarantee applies to eligible EarnedShield purchases as stated in that policy and should not be interpreted as applying to VendorGate unless StandardArc expressly states otherwise.
12. Intellectual property
StandardArc Systems and its licensors retain all rights in the Service, software, system design, branding, documentation, workflows, and other proprietary materials, excluding customer-owned data.
13. Suspension or termination
StandardArc Systems may restrict, suspend, convert to read-only access, or terminate access when reasonably necessary to address an expired paid term, nonpayment where payment is required, fraud, security risk, material violation of these Terms, or unlawful use. Where practical, StandardArc Systems may provide notice or an opportunity to correct a remediable issue.
14. Limitation of liability
To the maximum extent permitted by law, StandardArc Systems will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost opportunities, or business interruption arising from use of or inability to use the Service. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
15. Changes to these Terms
These Terms may be updated as the Service, product offerings, or applicable requirements change. The current version will be posted through StandardArc Systems or the store. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
